Who we are
the empire is the trade name of Software Empire Inc, a company based at 24350 SW 127 PL, Princeton, FL 33032, United States (EIN 33-2589372). In these terms, "we" means Software Empire Inc and "the client" means the person or company that hires or uses our services.
- 02
Scope
These terms apply to the use of this website and to our services: Blueprint, MVP, Platforms, Audits and Cybersecurity. Each project is also governed by its proposal or statement of work accepted in writing; if they differ, the proposal prevails.
- 03
Proposals, phases and payments
Each phase is quoted before it starts. Amounts, timelines, milestones and payment terms are those of the accepted proposal. Anything outside the agreed scope is quoted separately before it is done. Late payments may pause the work until they are settled.
- 04
Client commitments
The client provides on time the information, access and decisions the project needs, and warrants that it has the right to share with us the materials and data it provides. Delays in those inputs adjust the timelines.
- 05
Intellectual property
Once a phase is paid in full, the client owns the custom deliverables made for it in that phase. We keep ownership of our pre-existing tools, components and know-how, and the client receives a perpetual licence to use whatever is incorporated into its product. Third-party and open-source components are governed by their own licences.
- 06
Confidentiality
Both parties keep confidential any non-public information received from the other and use it only for the project. This obligation survives the end of the service. It does not cover information that was already public or that an authority requires to be disclosed.
- 07
Cybersecurity services
We only review or test systems that the client owns or is authorised to have tested, with written authorisation and a defined scope before we start. We do not test outside that scope or take destructive actions. Findings are confidential and delivered only to the client. A review reduces risk but does not guarantee the absence of vulnerabilities. Our head of cybersecurity is Jorge Bastidas, CTO.
- 08
Personal data
We use personal data only to provide the service and to reply to whoever contacts us. Data sent through this website’s forms is used to contact you about your request. We do not sell personal data. When we process data about the client’s users, we do so on the client’s instructions and with the agreed security measures.
- 09
Warranties and liability
We provide our services with professional care. Unless the proposal says otherwise, our total liability for a service is limited to what the client paid for it in the twelve months before the claim, and neither party is liable for indirect damages, lost profits or data loss not caused by gross negligence or wilful misconduct.
- 10
Use of this website
The content of this website is informational and is not a binding offer. The AI agent gives general guidance and makes no commitments on our behalf. You may not use the website for unlawful purposes or try to breach its security.
- 11
Termination
Either party may terminate a service with written notice, as set out in the proposal. Work done up to the termination date is paid, and each party returns or deletes the other’s confidential information.
- 12
Governing law
These terms are governed by the laws of the State of Florida, United States. The parties will try to resolve any dispute in good faith; failing that, they submit to the courts of Miami-Dade County, Florida.
- 13
Changes and contact
We may update these terms; the date of the latest version is shown above, and changes do not affect proposals already accepted. For any question, write to contacto@theempire.tech.
